Terms of Service

The agreement between you and Noula when you use the platform.

1. Acceptance of Terms

By creating an account or booking a visit through Noula, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the platform. These Terms form a binding agreement between you and Noula Care Inc.

2. Description of Service

Noula is a technology platform that connects families and seniors ("Clients") with independent, vetted Care Companions ("Companions") who deliver non-medical home support — including companionship, transportation, errands, medication support, meal preparation, post-discharge support, and related services. Noula is not a home health agency and Companions do not provide medical diagnosis, nursing, or clinical services.

3. Eligibility & Account

You must be 18 or older and legally able to enter a contract. You agree to provide accurate information, maintain the security of your credentials, and notify us immediately of any unauthorized access. You are responsible for all activity under your account.

4. Client Responsibilities

Clients agree to treat Companions with respect, provide a safe visit environment, disclose relevant care recipient information (mobility, allergies, cognitive status), and pay for completed visits according to the pricing presented at booking. Abusive behavior or unsafe conditions may result in visit cancellation and account termination.

5. Companion Responsibilities

Companions must complete Noula's background check (via Certn), identity verification, and onboarding. Companions agree to arrive on time, follow the agreed scope of service, report incidents promptly, and maintain the confidentiality of Client information. Companions are independent contractors, not employees of Noula.

6. Payments & Fees

Noula sets and displays all pricing before you confirm a booking, including applicable multipliers and taxes (HST in Ontario, GST+QST in Quebec, state and local taxes in the United States). Payment is authorized at booking and captured after visit completion. Companion payouts issue weekly by default; an optional instant-payout is available for a small fee. Noula retains a platform commission from each visit.

7. Cancellation Policy

Clients may cancel a visit more than 4 hours before the scheduled start without charge. Cancellations inside 4 hours or no-shows are subject to a cancellation fee equal to 50% of the visit's base rate. Noula may cancel a visit for safety, compliance, or operational reasons; when it does, any payment is fully refunded.

8. Limitation of Liability

To the maximum extent permitted by law, Noula's total liability for any claim arising from your use of the platform is limited to the fees you paid for the specific visit at issue. Noula is not liable for indirect, consequential, or punitive damages. Nothing in these Terms limits liability that cannot be limited under applicable law.

9. Indemnification

You agree to indemnify and hold Noula harmless from any claim, loss, or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the platform, or your violation of any third-party right.

10. Termination

You may close your account at any time from your profile settings. Noula may suspend or terminate your account for violations of these Terms, fraud, abuse, or failure to pay. Sections intended to survive termination (payment obligations, liability limits, dispute resolution) remain in force.

11. Governing Law & Disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. Disputes will be resolved by the courts of Ontario, except where a consumer-protection statute in your province or state gives you the right to pursue claims in your own jurisdiction.

12. Changes to These Terms

We may update these Terms occasionally. Material changes will be announced in-app and by email at least 14 days before they take effect. Continued use of Noula after the effective date constitutes acceptance.
